EM 12c : emctl start agent Fails With Error 'Starting agent ... started but not ready'

Symptoms

$/AGENT_INST/bin/emctl start agent

fails with the following error

Oracle Enterprise Manager Cloud Control 12c Release 2
Copyright (c) 1996, 2012 Oracle Corporation.  All rights reserved.
Starting agent ...started but not ready.

/AGENT_INST/sysman/log/gcagent.log  reports the following message

2013-11-21 13:41:42,665 [45:C449B04D] INFO - Target: [oracle_database.OSHB$1] is fully broken: Dynamic properties calculation timeout (in 'GetDBVersion')(code=0x484)

OR

/AGENT_INST/sysman/log/gcagent.log reports the following message

2013-05-15 09:03:00,212 [1007937:HTTP Listener-1007937 - /emd/main/] ERROR - The agent is overloaded [current requests: 30]
You will most likely be hitting Use Case 2 if you are not on the latest agent version.

OR

/AGENT_INST/sysman/log/gcagent.log reports the following message

2013-12-30 05:55:42,175 [795969:GC.Executor.160646 (host:<FQN>:CCCWatchdog) (host:<FQN>:CCCWatchdog:CCCWatchdog)] ERROR - host:<FQN>:CCCWatchdog:CCCWatchdog
java.lang.OutOfMemoryError: unable to create new native thread
at java.lang.Thread.start0(Native Method)

 OR

$/AGENT_INST/bin/emctl upload
