You have to upgrade the listener as well as the database and the listener is actually in the grid infrastructure home owned by grid user.

1. Enterprise > Provisioning and Patching > Database Provisioning > Upgrade Oracle Database

a. The Upgrade wizard requires a listener and a database home to complete the upgrade.
b.The listener is part of the GRID Infrastructure

This way does seem to recognize that the listener runs out of /opt/grid/product/112040/grid/network/admin, but since it is logged in as Oracle, it fails because oracle is not authorized to stop / start the listener.

2. Targets > Database >  Oracle Database > Provisioning > Upgrade Oracle Database

a. Below error message is generated:

No supported listeners are available in /opt/oracle/product/112046/db. Specify Listener Name and Port to create a new listener in the new Oracle Home and register the database with it.
