Upgrade from Enterprise Manager (EM) 12.1.0.5 Cloud Control to EM 13.1.0.0.0 Cloud Control:

As the EM 13c installer presents the Installation Types page, the Upgrade option is not available.

Only the options to "Create a new Enterprise Manager system" and "Install software only" are presented:
