HTTP Server Fails to Start with "SSL setup failed: call to nzos_OpenWallet returned error 28759" after OMS Home Upgrade

Enterprise Manager Base Platform - Version: 10.2.0.2 to 10.2.0.5   [Release: 10.2 to 10.2]
This problem can occur on any platform.

Symptoms

After securing a 10.2.0.1 OMS home in a Grid Control installation and then upgrading it, the HTTP Server does not start.  Instead, when executing 'opmnctl startproc ias-component=HTTP_Server' it errors:
--> Process (pid=19265)
failed to start a managed process after the maximum retry limit
Log:
/fs01/app/oracle/OracleHomes/oms10g/opmn/logs/HTTP_Server~1


The <oms home>/Apache/Apache/logs/ssl_engine_log files contains:
[Mon Nov 20 08:18:33 2006] [error] mod_ossl: Init: Server
hostname.domain:1159: SSL setup failed: call to nzos_OpenWallet
returned error 28759
[Mon Nov 20 08:18:33 2006] [error] mod_ossl: Failed to open the wallet [Hint:

Changes

After upgrading Grid Control OMS 10.2.0.1 to 10.2.0.2  the problem occurs
