Symptoms
While performing Database upgrade from 11.2.0.4 to 12.2.0.1, 12.2.0.1 DBUA fails during preupgrade steps with below error in the screenshot:
“SEVERE: The content of elements must consist of well-formed character data or markup”. The upgrade.xml file is not getting generated due to the error.
Upgrade Trace.log has below error stack:
Even manual method did not generate the upgrade.xml and failed with same error message.

Bug has been filed for the issue:
Bug 26163683 – PREUPGRADE.JAR FAILS SEVERE: THE CONTENT OF ELEMENTS MUST CONSIST OF WELL-FORMED.
A function used in preupgrade tool was emitting a query in a format that was causing translation problems in XML.
